Important: By engaging Dogs of Labor for consulting services, you agree to these terms and conditions. Please read them carefully before proceeding.

1. Services Provided

Dogs of Labor provides strategic consulting services focused on AI adaptation and organizational implementation. Our services include:

  • Strategic guidance on AI integration and organizational adaptation
  • Development of custom frameworks and methodologies
  • Training and advisory services for leadership and operational teams
  • Assessment and planning for AI implementation projects

All services are advisory in nature. We provide strategic guidance and recommendations based on our expertise and your specific situation, but we do not guarantee specific outcomes or results.

2. Nature of Consulting Relationship

Advisory Role: Dogs of Labor serves as an independent consultant providing strategic advice. We are not employees, partners, or agents of client organizations.

Client Responsibility: Implementation decisions and actions remain the sole responsibility of the client. The client retains full control over whether and how to implement any recommendations provided.

No Guaranteed Results: While we bring extensive experience and proven methodologies, consulting outcomes depend on many factors including organizational context, implementation quality, and external circumstances beyond our control.

3. Intellectual Property

Dogs of Labor IP: All methodologies, frameworks, tools, and materials developed by Dogs of Labor prior to or independent of client engagements remain our exclusive intellectual property. This includes but is not limited to:

  • The Dogs of Labor framework and methodology
  • Leadership Guardrails and related tools
  • Proprietary assessment instruments and processes
  • Training materials and documentation templates

Client-Specific Deliverables: Custom deliverables created specifically for a client engagement (such as tailored implementation plans, client-specific assessments, or customized documentation) belong to the client upon full payment.

License to Use: Clients receive a non-exclusive license to use Dogs of Labor methodologies and frameworks for their internal purposes as part of paid engagements. This license does not permit resale, republication, or use for consulting services to third parties.

4. Confidentiality

Mutual Confidentiality: Both parties agree to maintain confidentiality of proprietary information shared during the engagement.

Client Information: We will not disclose client-specific information, strategies, or implementation details to third parties without explicit written consent.

General Learning: Dogs of Labor reserves the right to use general insights and lessons learned (without identifying client-specific details) to improve our methodologies and serve future clients.

5. Payment Terms

Fees: Consulting fees will be agreed upon in writing before work begins. Payment terms typically include:

  • Project-based fees for defined scope engagements
  • Hourly or daily rates for ongoing advisory services
  • Retainer arrangements for extended partnerships

Payment Schedule: Unless otherwise agreed, invoices are due within 30 days of receipt.

Late Payment: Invoices unpaid after 30 days may incur a late fee of 1.5% per month and may result in suspension of services.

Expenses: Reasonable expenses (travel, accommodation, materials) will be billed separately with receipts provided unless included in flat-fee arrangements.

6. Cancellation and Refunds

Client Cancellation: Clients may cancel engagements with 14 days written notice. Fees for work completed up to the cancellation date remain due.

Project-Based Work: For project-based engagements, cancellation after work has begun will result in charges for completed phases plus any non-recoverable expenses.

Retainer Arrangements: Retainer fees are non-refundable but may be applied to future services within the agreed timeframe.

7. Limitation of Liability

Advisory Nature: Our services are advisory only. We are not responsible for implementation decisions, execution quality, or outcomes resulting from client actions or inactions.

Liability Cap: To the fullest extent permitted by law, Dogs of Labor’s total liability for any claims arising from our services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.

No Consequential Damages: We are not liable for indirect, incidental, consequential, or special damages including lost profits, lost revenue, or business interruption.

Third-Party Actions: We are not responsible for actions taken by third-party vendors, contractors, or service providers that clients engage based on our recommendations.

8. Warranties and Disclaimers

Professional Standards: We warrant that our services will be performed with reasonable care and professional competence consistent with industry standards.

No Warranty of Results: We make no warranties regarding specific outcomes, results, or business performance improvements. Success depends on multiple factors including client implementation, organizational readiness, and market conditions.

Technology Disclaimers: AI and technology recommendations are based on current available information. The rapidly evolving nature of AI technology means that recommendations may need adjustment as new capabilities and limitations emerge.

9. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for our work
  • Give timely access to relevant personnel, systems, and documentation
  • Make decisions and take actions required for project progress
  • Notify us promptly of any concerns or issues that arise
  • Maintain appropriate internal expertise for implementation and ongoing operations

10. Scope Changes

Any changes to agreed scope, deliverables, or timeline must be documented in writing. Scope changes may result in adjusted fees and timelines, which will be communicated before additional work proceeds.

11. Independent Contractor Status

Dogs of Labor operates as an independent contractor. Nothing in these terms creates an employment relationship, partnership, joint venture, or agency relationship. We are responsible for our own taxes, insurance, and business expenses.

12. Dispute Resolution

Good Faith Discussion: In the event of any dispute, both parties agree to first attempt resolution through good faith discussion.

Mediation: If direct discussion does not resolve the issue, both parties agree to attempt mediation before pursuing legal action.

Governing Law: These terms are governed by the laws of the State of Florida. Any legal proceedings shall take place in St. Petersburg, Florida.

13. Termination

Either party may terminate the consulting relationship with written notice. Upon termination:

  • Client remains obligated to pay for all work completed through the termination date
  • Dogs of Labor will provide any completed deliverables
  • Both parties will return or destroy confidential information as requested
  • Intellectual property rights and confidentiality obligations survive termination

14. Website Use

Content Accuracy: While we strive for accuracy, website content is for informational purposes only and should not be considered formal consulting advice.

No Professional Relationship: Visiting our website or reading our content does not create a consulting relationship or obligation on either party.

Third-Party Links: Our website may contain links to external resources. We are not responsible for the content or availability of third-party sites.

15. Modifications to Terms

We may update these terms periodically. Continued engagement after changes are posted constitutes acceptance of modified terms. Significant changes will be communicated directly to active clients.

16. Severability

If any provision of these terms is found unenforceable, the remaining provisions continue in full effect.

17. Entire Agreement

These terms, together with any written engagement agreements or statements of work, constitute the entire agreement between Dogs of Labor and the client. Any prior discussions, proposals, or understandings are superseded by these written terms.
